On September 16th, Nanning Xiaozhongzheng Commercial Secretary Co., Ltd. changed its industry and commerce. BYD Automotive Industry Co., Ltd. (hereinafter referred to as "BYD") acquired the company wholly and changed its name to "BYD (Guangxi) New Energy Co., Ltd.". The registered capital has increased from 300000 yuan to 100 million yuan, and the legal representative has been changed from Nong Caiyun to Wang Qiong.

However, the seemingly normal acquisition change, who would have thought it was a forgery.

On September 20, the website of the Administrative examination and approval Bureau of Nanning, Guangxi, was released. On the same day, BYD Automobile reported to the Market Service Section of the Bureau that BYD (Guangxi) New Energy Co., Ltd., as a party, fraudulently used its identity information to deceive the company registration and submitted an application and relevant evidence materials to revoke the party's change registration on September 16, 2022. In accordance with Article 40, paragraph 1, of the regulations of the people's Republic of China on the Administration of Registration of Market entities and Article 50 and paragraph 1 of Article 52 of the regulations of the people's Republic of China on the Administration of Registration of Market entities, the Bureau will accept and investigate on September 20, 2022.

It has been found out that the official seal of BYD Automobile in the materials submitted by the parties when applying for company change registration was forged and the signature of Wang Chuanfu, BYD's legal representative, was forged. BYD Automobile and its legal representative Wang Chuanfu did not know about the registration and did not ratify it afterwards. The act of a party belongs to the act of submitting false materials or obtaining the registration of a market subject by concealing important facts by other fraudulent means, it violates Article 17 of the regulations of the people's Republic of China on the Administration of Registration of Market subjects, which states that "the applicant shall be responsible for the authenticity, legality and validity of the materials submitted".

In accordance with the provisions of paragraph 2 of Article 40 of the regulations of the people's Republic of China on the Administration of Registration of Market entities and paragraph 2 of Article 53 of the regulations of the people's Republic of China on the Administration of Registration of Market entities, the bureau decided to cancel the company change registration of the parties on September 16, 2022.

Data show that Nanning Xiaozhongzheng Business Secretary Co., Ltd. was established in September 2020, the legal representative is Nong Caiyun, and another senior executive is Yu Huihua. The company's main business scope includes enterprise residence trusteeship, agent bookkeeping, trademark agency, enterprise management information consultation, business information consultation, educational information consultation and so on. On September 16, Nanning Xiaozhongzheng Business was wholly acquired by BYD and renamed "BYD (Guangxi) New Energy Co., Ltd.". The registered capital increased from 300000 yuan to 100 million yuan. The company's business scope almost replicates the business scope of BYD Automobile. Including new energy vehicle sales, electrical accessories sales, auto parts and accessories manufacturing, battery manufacturing sales, charging pile sales, new energy vehicle switching facilities sales, motor vehicle charging sales, centralized fast charging stations and so on.

At present, on the second day after the Guangxi Nanning Administrative examination and approval Bureau issued the "decision on cancellation of Registration by Nanning Administrative examination and approval Bureau", BYD (Guangxi) New Energy Co., Ltd. has changed back to Nanning Xiaozhongzheng Business Secretary Co., Ltd. the legal representative, senior executives, registered capital, investors, addresses and so on have all changed back intact. Tianyan survey shows that "Nanning Xiaozhongzheng Business Secretary Co., Ltd." used the name "BYD (Guangxi) New Energy Co., Ltd.".

This is not the first time such a thing has happened to BYD. In July 2018, BYD issued a statement about Li Juan and others carrying out related business under the name of BYD, saying that in May 2017, Li Juan used the name of Shanghai Yuhong Culture Communication Co., Ltd. take its own resources (advertising and activities) trial and free use as a starting point, take the initiative to contact BYD and carry out free advertising.

BYD said in a statement that the investigation found that Li Juan and others rented office space in the second phase of Guojin Phase II on Shanghai Pudong Century Avenue, claiming to be BYD's dispatch. at the same time, Li Juan falsely used the identity of the general manager of the marketing department of Shanghai BYD Electric vehicle Co., Ltd. to forge several official seals and carry out advertising cooperation with a number of units and institutions in the name of BYD. Based on this behavior, BYD reported the case to the Shanghai police on suspicion of forging her seal and contract fraud.

On December 31, 2019, the Shanghai Pudong New area people's Court issued a criminal verdict, sentenced Li Juan to 14 years' imprisonment, deprived of political rights for three years, and confiscated 5 million yuan of property for Li Juan's contract fraud.
