Dongfeng Motor Co., Ltd. was established in July 1999 with a registered capital of 2 billion yuan. It is jointly held by Dongfeng Motor Group Co., Ltd. and Dongfeng Motor Co., Ltd., of which Dongfeng Motor Group Co., Ltd. is the largest shareholder. Holding 55.0%.

In May 2022, Dongfeng Motor announced that its controlling shareholder, Dongfeng Automobile Co., Ltd. (hereinafter referred to as "Dongfeng Co., Ltd.") and Dongfeng Automobile Group Co., Ltd. (hereinafter referred to as "Dongfeng Automobile Group") signed an "equity transfer agreement". It is agreed that Dongfeng Limited will transfer its 598 million shares of Dongfeng Automobile to Dongfeng Automobile Group, accounting for 29.9% of the total issued shares, with a total investment of 3.3488 billion yuan. After the completion of this transfer, Dongfeng Group will continue to offer to acquire 25.10% of Dongfeng Motor shares at an agreed price in order to gain control over Dongfeng Motor. After the completion of the transaction, the controlling shareholder of Dongfeng Motor will be changed from Dongfeng Co., Ltd. to Dongfeng Group, and the actual controller will be changed to the State-owned assets Supervision and Administration Commission of the State Council. Dongfeng Motor said that Dongfeng Co., Ltd. sold its medium and heavy commercial vehicle business as a whole to Dongfeng Group and divested its medium and heavy commercial vehicle business, which is an important move for Dongfeng Co., Ltd. to further adjust its business layout and focus on passenger vehicle business.

It is worth mentioning that Dongfeng Motor Group, as the controlling shareholder, announced on October 27, 2023 that Yang Qing was appointed chairman and party committee secretary of Dongfeng Automobile Group Co., Ltd., and removed from his post of general manager of Dongfeng Automobile Group Co., Ltd. Former chairman Zhu Yanfeng was removed from the post of chairman and party committee secretary of Dongfeng Motor Group Co., Ltd on March 3, 2023. On November 2, 2023, Dongfeng Group announced on the Hong Kong Stock Exchange that Zhu Yanfeng had reached the retirement age and would no longer serve as executive director and chairman of the company from November 2, 2023.
