FAW Pentium sedan Co., Ltd., established by the latter, will undertake restructuring and purchase assets, FAW sedans purchase passenger car business, and at the same time place FAW liberation assets owned by major shareholders to achieve asset swap.

FAW car said that the company intends to solve the problem of inter-industry competition with assets other than retained assets (hereinafter referred to as "purchased assets") and FAW Jiefang Automobile Co., Ltd. held by FAW shares. FAW cars and FAW shares to achieve asset exchange (hereinafter referred to as "this restructuring"). According to the restructuring plan, in the process of restructuring and delivery, the company plans to set up a wholly-owned subsidiary to transfer 100% of the shares of the company to FAW shares after the assets are transferred to the company. Accordingly, the company intends to invest in the establishment of a wholly-owned subsidiary to undertake the purchased assets in this restructuring. In April this year, FAW car also said that after the purchase of FAW Liberation assets, the commercial vehicle business of China FAW was listed in A shares, thus resolving the long-standing competition problems between FAW sedan and FAW Xiali.

At the same time, there is also a view that the internal restructuring of FAW Group is a prelude to the overall listing. In fact, during the Shanghai auto show in April, a senior executive in Mazda China revealed to the media that FAW was seeking an overall listing. "FAW has also communicated with us that they will make a whole listing. However, it is not convenient for us to comment on the work direction of FAW Group. " Since the launch of the overall listing program at the end of June 2011, FAW Group's plan to seek an overall listing has been stagnant for eight years.
